Terms of Service

1. Overview
These Terms of Service ("Terms") govern your access to and use of the ServicePulse AI platform, including all associated services, features, tools, engines, integrations, and scoped services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
ServicePulse AI is operated by Service Pulse AI LLC ("we," "us," or "our"), based in Austin, Texas.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Service Description
ServicePulse AI provides a trade-focused business platform that may include, depending on plan and scope, lead capture, missed-call text-back, SMS/email workflows, AI-assisted communication, CRM/pipeline tools, scheduling/request workflows, review request tools, dashboards, reporting, Site Vitals diagnostics, Business Health Score tools, Revenue Leak Report tools, operations workflows, integrations, and optional scoped implementation or marketing services.
Some features require specific plans, integrations, third-party services, usage-based charges, or separately scoped work.
3. Platform Engines and Scoped Services
Site Vitals: An online visibility diagnostic providing directional scores and recommendations. Does not guarantee rankings, traffic, leads, or revenue.
Revenue Leak Report: A directional business analysis based on information provided, public signals, and reasonable assumptions. Not a guarantee of revenue recovery.
Business Health Score: A self-assessment or dashboard indicator. Directional and not financial, legal, or investment advice.
AI Command Center: AI-assisted workflows and automation subject to configured rules, guardrails, plan, and integrations.
Operations Engine: Lead-to-paid-invoice workflows such as CRM, scheduling, jobs, estimates, invoices, payments, reporting, and customer workflows depending on plan.
Stoke Media / Marketing Services: Website builds, SEO, GBP optimization, ads, landing pages, content, social, and campaigns are scoped separately unless expressly included in a signed agreement.
4. Pricing and Fees
Current plans, pricing, Implementation & Launch fees, usage charges, optional expansions, and scoped services are described on the Pricing page, in an order form, statement of work, invoice, subscription agreement, or written proposal provided by ServicePulse AI. Pricing may vary based on plan, usage, integrations, implementation scope, third-party services, and negotiated terms.
In the event of a conflict between these Terms and a signed order form, statement of work, or other written agreement executed by both parties, the signed agreement will control for that customer.
5. Implementation & Launch
Implementation & Launch fees cover onboarding, workflow mapping, configuration, integrations where included, testing, training, launch support, and other setup work described in the applicable plan, proposal, or order form.
Implementation & Launch fees are generally non-refundable once work has begun unless otherwise stated in a signed agreement.
Implementation timelines depend on client responsiveness, access to required systems, third-party platforms, selected plan, integrations, data quality, and scoped services.
6. Usage-Based and Third-Party Fees
Certain features may create usage-based or third-party costs, including but not limited to SMS, voice, AI voice, email, call recording, transcription, payment processing, ad spend, domains, hosting, data migration tools, integration platforms, and third-party software.
Customer is responsible for approved third-party fees, usage charges, ad spend, payment processor fees, and other costs described in the applicable plan, invoice, order form, or proposal.
7. Billing and Cancellation
Subscriptions may be billed monthly or annually depending on the selected plan or agreement. Annual prepay discounts, if offered, apply to platform subscription fees only unless otherwise stated.
Cancellation requires written notice. Unless otherwise stated in an applicable order form, subscriptions remain active through the end of the current billing period.
Customer remains responsible for unpaid fees incurred before cancellation, including approved usage, third-party costs, scoped services, and completed or in-progress Implementation & Launch work.
Late payments may result in suspension of Service access. You are responsible for all taxes associated with your use of the Service, excluding taxes based on our net income.
8. Refunds and Pilot Terms
Any pilot, trial, or refund offer will be governed by the specific terms presented at the time of signup, in writing, or in the applicable order form.
Unless expressly stated otherwise, refunds apply only to the first monthly platform subscription fee and do not apply to Implementation & Launch fees, usage charges, ad spend, third-party fees, payment processor fees, custom implementation, website builds, managed campaigns, integrations, data migration, or scoped services.
No refunds are provided for partial months after the applicable refund period, if any, unless required by law or expressly agreed in writing.
9. Account Terms
To access the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Each account is intended for use by a single business entity. Sharing account credentials across multiple businesses or unauthorized users is prohibited.
10. Acceptable Use
You agree not to misuse the Service or help anyone else do so. You may not:
• Attempt to gain unauthorized access to the Service, its servers, or connected systems.
• Use the Service to store or transmit malicious code or interfere with platform performance.
• Use the Service to send unlawful, deceptive, or unsolicited communications.
• Upload or transmit sensitive personal information unless explicitly supported and authorized.
• Attempt to reverse engineer, scrape, overload, or interfere with the platform.
• Violate third-party platform rules such as Google, Meta, Twilio, Stripe, or other providers.
• Use the Service for regulated or prohibited content without written approval.
Automated access is permitted only through published APIs and applicable rate limits. Scraping, crawling, or automated data collection without express written consent is prohibited.
11. AI Features and Human Oversight
ServicePulse AI may use AI-assisted tools to generate responses, classify leads, draft messages, route requests, summarize conversations, recommend next steps, or support workflows. AI outputs may be inaccurate, incomplete, delayed, or inappropriate in some situations.
Customers are responsible for configuring workflows, reviewing AI behavior, training staff, monitoring conversations, and using human oversight where appropriate.
ServicePulse AI does not guarantee that AI will capture every lead, prevent every missed opportunity, schedule every appointment, or produce any specific business result.
Certain AI features, including AI voice, may require specific plans, integrations, usage charges, or scoped setup.
12. SMS, Email, Phone, and Communication Compliance
Customer is responsible for ensuring that its use of the Service complies with all applicable laws, including laws relating to SMS, email, telemarketing, privacy, consent, call recording, and customer communications, including TCPA, CAN-SPAM, and similar laws where applicable.
ServicePulse AI may provide tools designed to support opt-in, opt-out, unsubscribe, consent management, do-not-contact lists, and communication controls, but Customer remains responsible for how it collects consent, imports contacts, writes campaigns, and uses the Service.
Customer may not use the Service to send spam, unlawful marketing messages, misleading content, or communications to individuals who have opted out.
13. Data Ownership and Privacy
Customer retains ownership of business data, customer data, uploaded content, conversation history, and other data provided to ServicePulse AI ("Customer Data").
Customer grants ServicePulse AI a limited license to process Customer Data as necessary to provide, maintain, secure, support, and improve the Service.
ServicePulse AI does not sell Customer Data.
Data deletion and export may be subject to legal, billing, backup, security, dispute, fraud-prevention, or compliance retention requirements.
Our collection, use, and storage of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement reasonable administrative, technical, and physical safeguards to protect data stored on the Service. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security.
14. Payment Processing
Payment processing may be provided by Stripe or other third-party payment processors. ServicePulse AI does not store raw payment card numbers on its own servers.
Use of payment features may be subject to the payment processor's terms, fees, and availability.
15. Third-Party Integrations
The Service may integrate with third-party platforms such as Google, Meta, Stripe, Twilio, email providers, calendar systems, CRMs, website tools, analytics platforms, or other services.
ServicePulse AI is not responsible for third-party outages, pricing changes, policy changes, API changes, data availability, or service interruptions.
16. Intellectual Property
The Service, including all software, designs, text, graphics, and other content, is owned by Service Pulse AI LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
17. Warranty Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ServicePulse AI does not guarantee specific rankings, leads, revenue, booked jobs, reviews, response rates, conversion rates, advertising results, SEO outcomes, or business performance.
Reports, scores, projections, calculators, and estimates are directional and based on available information, customer inputs, public signals, assumptions, and connected data.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVICE PULSE AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the total amount of platform subscription fees paid by Customer in the twelve (12) months immediately preceding the event giving rise to the claim, excluding pass-through third-party fees, ad spend, taxes, payment processing fees, and reimbursable costs.
19. Termination
Either party may terminate these Terms at any time by providing written notice to the other party. Upon termination, your right to access and use the Service will cease.
We may suspend or terminate Service for non-payment, suspected unlawful use, security risk, abuse, violation of third-party provider rules, or violation of these Terms.
Upon termination, Customer may request export of available Customer Data within a reasonable period, subject to technical feasibility, retention limits, and outstanding payment obligations.
Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, limitation of liability, warranty disclaimers, and dispute resolution.
20. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and each party consents to the personal jurisdiction of such courts.
21. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
